What is a Transfer Agent?

A transfer agent is hired by a public company to keep records of every outstanding stock certificate and the contact information of the person to whom it is registered. When stock changes hands, the transfer agent is responsible for assigning ownership of the stock from the seller’s name to the buyer’s name.

When did Barrick begin trading as a public company?

Barrick was listed on the Toronto Stock Exchange on May 2, 1983, and on the New York Stock Exchange on February 25, 1987.

 

How many shares of the Company are outstanding?

The total number of outstanding common shares is 1,164,652,426, which includes shares issued on November 14, 2013, in connection with Barrick’s equity offering.

 

What is the history of stock splits?

Barrick common shares were split on a two-for-one basis in 1987 (announced May 26, 1987, payable July 15, 1987 to shareholders of record on June 30, 1987); 1989 (announced December 4, 1989, payable December 29, 1989 to shareholders of record on December 13, 1989); and 1993 (announced February 8, 1993, payable on June 15, 1993 to shareholders of record on May 31, 1993).

 

 

Dividends

Does Barrick pay a dividend? Will it be increased in the future?

The Board of Directors reviews the quarterly dividend regularly based on, among other things, the current and projected financial position of the Company, the cash requirements of Barrick’s operating assets and other factors deemed relevant by the Board. The most recent quarterly dividend was $0.02 per share.

 

Can I receive my dividend in the currency of my choice?

Barrick’s dividends are declared in USD. Registered shareholders (i.e. shares registered with the Transfer Agent in the holder's name) with an address in Canada will be paid in CAD; registered shareholders with an address in Australia will be paid in AUD; all other registered shareholders will be paid in USD. Dividend payments paid in CAD or AUD are converted from USD at the noon rate of exchange of the Bank of Canada on the record date for the relevant dividend payment. Registered shareholders may elect to change the currency of dividend payments by contacting the Transfer Agent.

Shareholders who hold shares through their brokers should contact them directly for more information on how currencies are treated for their dividend payments and to obtain details with respect to additional fees, if any, that the broker may charge in connection with converting the dividend payment currency.

What is the Canadian federal income tax consideration for dividends?

Pursuant to enacted tax legislation, Canadian resident individuals who receive "eligible dividends" in 2006 and subsequent years will be entitled to an enhanced gross-up and dividend tax credit on such dividends. Barrick has designated that all dividends paid in 2006 and subsequent years by Barrick Gold Corporation are "eligible dividends" for these purposes.

 

What is the United States federal income tax consideration for receipt of Canadian dividends?

Canadian dividends should be considered as foreign income. The appropriate income tax form should be completed to receive any credit from taxes paid on the dividend.

 

Is Barrick a passive foreign investment company (PFIC) for U.S. taxpayers?

No, Barrick is not a passive foreign investment company.
