Beginning in 2022, Barrick has established a performance dividend policy that will enhance the return to shareholders when our liquidity is strong. The amount of the performance dividend on a quarterly basis will be based on the amount of net cash on Barrick’s Consolidated Balance Sheet as per the following schedule:
The declaration and payment of dividends is at the discretion of the Board of Directors, and will depend on the Company’s financial results, cash requirements, future prospects, the number of outstanding common shares, and other factors deemed relevant by the Board.
Effective June 15, 1992, dividends are declared in USD. All dividend payments up to and including January 15, 1992, were paid in CAD.
Shareholders with an address in Canada will be paid in CAD; shareholders with an address in Australia will be paid in AUD; all other shareholders will be paid in USD. For dividend payments paid in CAD, AUD or GBP, payments are converted from USD at the relevant daily exchange rates posted as of the record date by the Bank of Canada, Reserve Bank of Australia, or Bank of England, respectively.
Registered shareholders (i.e. shares are registered with the Transfer Agent in the holder's name) may elect to change the currency of dividend payments by contacting the Transfer Agent. Shareholders who hold their shares through a broker should contact the broker through which their shares are held to determine whether they may elect to change the currency of payment and to obtain details with respect to additional fees, if any, that the broker may charge in connection with the dividend payment.
Shareholders who are residents of Canada or the United States may elect to participate in the dividend reinvestment plan (the "Plan") commencing with the dividend to be paid on September 15, 2015 to shareholders on record as of August 31, 2015. Participation in the Plan is optional and will not affect shareholders' cash dividends unless they elect to participate in the Plan. Quarterly dividends are only payable as and when declared by Barrick's Board of Directors and there is no entitlement to any dividend prior thereto.
The discount for the reinvestment of dividends under the Plan was eliminated effective as of August 12, 2019. While no discount currently applies under the Plan, participants may still reinvest their cash dividends into additional common shares issued from treasury at the Average Market Price (as defined in the Plan).
Pursuant to tax legislation, Canadian resident individuals who receive "eligible dividends" from Barrick will be entitled to an enhanced gross-up and dividend tax credit on such dividends. Barrick has designated that all dividends paid by Barrick Gold Corporation are "eligible dividends" for these purposes.
This note is intended to provide UK resident Scheme Shareholders with certain further information in relation to the UK capital gains tax treatment of the disposal of their Scheme Shares under the Scheme, which became effective on 17 September 2019.
